Public Offer Agreement for the Sale of Goods

1. General Provisions

1.1. This document constitutes an official Public Offer made by a Sole Proprietor registered under the laws of Ukraine (hereinafter referred to as the “Seller”) to conclude a distance sales agreement for goods offered on the website (hereinafter referred to as the “Website”).
1.2. This Public Offer is addressed to any legally capable individual or legal entity (hereinafter referred to as the “Buyer”).
1.3. The Seller reserves the right to amend this Public Offer at any time without prior notice. The updated version becomes effective upon publication on the Website.
 1.4. Placing an order and completing payment on the Website constitutes full and unconditional acceptance (acceptance) of this Public Offer.

2. Subject of the Agreement

2.1. Under this Agreement, the Seller agrees to sell and deliver goods presented on the Website, and the Buyer agrees to purchase and pay for such goods in accordance with the terms of this Public Offer.
 2.2. All product descriptions, prices, and availability are published on the Website and form an integral part of this Agreement.

3. Order Placement

3.1. The Buyer places an order independently via the Website by completing the relevant electronic order form.
3.2. The Buyer is responsible for providing accurate, complete, and up-to-date information required for order processing and delivery.
 3.3. The Seller is not responsible for delays or failures caused by incorrect information provided by the Buyer.

4. Prices and Payment

4.1. Prices for goods are indicated on the Website and may be changed unilaterally by the Seller prior to order confirmation.
4.2. Payment is made using bank cards or other electronic payment methods available on the Website.
4.3. The Seller does not store or process Buyers’ bank card details. Payments are handled by third-party payment service providers.
 4.4. An order is considered accepted and the Agreement concluded upon successful payment.

5. Delivery

5.1. Delivery methods, costs, and estimated delivery times are indicated on the Website or during the checkout process.
5.2. Delivery timelines may vary depending on the Buyer’s location and the selected delivery service.
 5.3. The Seller is not responsible for delays caused by postal services, courier companies, customs authorities, or other circumstances beyond the Seller’s control.

6. Returns and Refunds

6.1. Returns and refunds are carried out in accordance with applicable Ukrainian law and international consumer protection regulations, where applicable.
6.2. Certain categories of goods may not be eligible for return or refund, as indicated on the Website or in the product description.
 6.3. To initiate a return, the Buyer must contact the Seller using the contact details provided on the Website.

7. Rights and Obligations of the Parties

7.1. The Seller undertakes to:

  • provide accurate information about the goods;

  • process and ship orders in a timely manner;

  • protect the Buyer’s personal data in accordance with the Privacy Policy.

7.2. The Buyer undertakes to:

  • comply with the terms of this Public Offer;

  • use the purchased goods in accordance with their intended purpose;

  • refrain from unlawful or improper use of the Website.

8. Limitation of Liability

8.1. The Seller shall not be liable for:

  • improper or unintended use of the goods by the Buyer;

  • technical failures of the Website or payment systems;

  • discrepancies between the Buyer’s expectations and the actual characteristics of the goods, provided that the description on the Website is accurate.

9. Intellectual Property

9.1. All content published on the Website, including texts, images, graphics, logos, and design elements, is the intellectual property of the Seller or its licensors.
 9.2. Any use of Website content without prior written consent of the Seller is prohibited.

10. Personal Data

10.1. The Seller processes the Buyer’s personal data in accordance with the Privacy Policy published on the Website.
 10.2. By accepting this Public Offer, the Buyer consents to the collection and processing of personal data solely for the purposes of fulfilling this Agreement.

11. Governing Law and Dispute Resolution

11.1. This Public Offer and any agreements concluded under it shall be governed by and construed in accordance with the laws of Ukraine.
 11.2. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiations, and if no agreement is reached — in accordance with applicable law.

12. Final Provisions

12.1. This Public Offer is valid indefinitely until revoked or replaced by the Seller.
12.2. The current version of the Public Offer is always available on the Website.
